Review board rights, protective provisions, liquidation preferences, pro rata rights and information requirements alongside the valuation. A higher valuation is not automatically the better proposal if other provisions materially change control or exit economics.\u003C/p>\u003Ch2>Compare total obligations, not headline prices\u003C/h2>\u003Cp>There is no universal cost for venture debt. Compare actual proposals with a monthly cash model because the nominal interest rate omits components that can affect both liquidity and ownership.\u003C/p>\u003Cp>For debt, model:\u003C/p>\u003Cul>\u003Cli>Upfront, legal, administration, unused-line and final-payment fees.\u003C/li>\u003Cli>Cash interest, paid-in-kind interest and exposure to a floating reference rate.\u003C/li>\u003Cli>The interest-only period, amortization start date and maturity.\u003C/li>\u003Cli>Warrant coverage, exercise price, adjustment provisions and fully diluted ownership impact.\u003C/li>\u003Cli>Collateral, security interests, subordination and lender priority.\u003C/li>\u003Cli>Minimum-cash, revenue, fundraising or milestone covenants.\u003C/li>\u003Cli>Prepayment premiums, draw conditions, material-adverse-change language and default interest.\u003C/li>\u003C/ul>\u003Cp>For equity, model the shares issued at closing, any employee option-pool expansion, conversion of outstanding instruments and dilution from investor rights. Run multiple future rounds and exit values through the cap table. The output should show each existing holder’s percentage and proceeds under the applicable preference terms, not merely the round’s advertised valuation.\u003C/p>\u003Cp>Place two decision measures side by side: the debt proposal’s monthly cash outflow and covenant headroom, and the equity proposal’s fully diluted ownership under several future outcomes. If the stake remained 15% at a hypothetical $100 million exit, it would represent $15 million before later dilution, preferences, taxes or transaction costs.\u003C/p>\u003Cp>In the debt version, suppose a $3 million loan carries 12% annual cash interest, six interest-only months, straight-line principal repayment over the following 18 months and a warrant representing 1% on the assumed capitalization. Initial monthly interest would be $30,000; amortization would then add about $166,667 in monthly principal before declining interest, fees or other charges. The example shows why “1% dilution” cannot be evaluated without the repayment schedule.\u003C/p>\u003Cp>In the mixed version, suppose equity covers the uncertain product and hiring plan while a smaller loan funds equipment with a defined deployment schedule. Model the instruments independently, then combine their cash and ownership effects. The mixed structure is preferable only if the smaller debt load preserves meaningful ownership without endangering the core plan.\u003C/p>\u003Col>\u003Cli>Calculate runway under all three structures in the operating and downside cases.\u003C/li>\u003Cli>Identify the earliest payment, covenant or draw condition that could limit action.\u003C/li>\u003Cli>Delay the next equity round in the model and test whether the company remains compliant.\u003C/li>\u003Cli>Run future financing and exit scenarios through the cap table, including warrants.\u003C/li>\u003Cli>Choose the structure whose downside the company can survive, not the one with the most attractive base-case outcome.\u003C/li>\u003C/ol>\u003Ch2>Term-sheet checklist before signing venture debt\u003C/h2>\u003Cp>Convert the lender’s documents into an operational checklist that finance, legal counsel and the board can monitor. Choose venture debt when repayment capacity, draw access and covenant headroom remain credible under a slower case. Use both when equity supports uncertain growth and a deliberately limited facility finances a measurable bridge or productive asset.\u003C/p>\u003Cp>Place every real proposal into the same monthly model and cap table, give the board the downside results and have qualified finance and legal advisers review the documents.
