It is a documented agreement that reflects each founder’s expected long-term contribution while treating economic ownership, voting authority and vesting as separate decisions. Interview every founder against the same criteria, score expected contributions and use the result to structure a negotiation rather than letting a calculator dictate the answer.

Before issuing shares, test the proposed arrangement against disagreements, underperformance and founder departures. An economically equal split may be reasonable, but equal voting power without a decision path can immobilize the company. Vesting and leaver terms address the risk that actual participation will differ from the assumptions behind the original allocation.

Separate the three decisions hidden inside the percentage

Founders often use “equity split” to describe decisions that perform different jobs. Combining them into one percentage creates avoidable conflict: a founder may accept equal economics but require clearer operating authority, or merit a larger economic interest without receiving unilateral control over protected corporate actions.

Economic ownership determines how much of the company each founder owns before later dilution.

Governance determines who votes the shares, elects directors and authorizes specified company actions.

Vesting determines how much equity a founder retains as service is completed over time.

Discuss these layers together, but do not assume that one answer dictates the others. A 50/50 economic arrangement does not require deadlocked governance. Giving a CEO defined operational authority also does not necessarily justify awarding that person nearly all the economic upside.

State the denominator behind every percentage. Founders should know whether proposed figures cover only issued founder shares or a fully diluted capitalization that includes a planned employee pool and outstanding rights to acquire shares. Label the assumptions on the cap table so percentages calculated on different bases are not presented as comparable.

Run a contribution interview before discussing numbers

Interview each founder separately before negotiating percentages as a group. Ask for evidence and forward commitments, not a general account of who had the original idea. The objective is to expose mismatched assumptions while the team can still resolve them.

What role will you own during the next 18 to 24 months, and which outcomes will you be accountable for?

When will you work full-time, and what conditions could delay that date?

What salary, career opportunity or other compensation are you giving up?

Which product, intellectual property, customer relationships or validated distribution advantages are you contributing?

What cash have you contributed, and is it intended as founder consideration, a loan or an investment?

Which responsibilities would be expensive or slow for the company to replace?

Who will lead hiring, fundraising, compliance and other work that may not immediately produce a product feature?

What should happen if you leave, reduce your hours or cannot perform the agreed role?

Convert the answers into a one-page contribution record and ask every founder to correct factual disagreements. Separate completed work from work merely promised. If an asset or relationship is central to the allocation, ask counsel to confirm that it can be transferred and to prepare the appropriate assignment.

Use a weighted worksheet without pretending it is objective truth
<picture></picture>
A worksheet makes assumptions visible; it cannot measure a founder’s intrinsic worth. Choose a small number of factors relevant to the business, assign weights totaling 100 and score every founder on the same scale. Agree on the factors and weights before viewing the calculated allocation.

One possible worksheet gives 30 points to future time commitment, 25 to role responsibility and execution burden, 20 to scarce or hard-to-replace capability, 15 to prior company-building work and 10 to uncompensated risk or opportunity cost. These are editorial starting points, not market standards. A hardware company, regulated business or studio may need materially different categories.

For each category, score every founder from 1 to 5 and multiply the score by the category weight. Divide each founder’s weighted total by the combined total to produce a negotiation baseline. Keep the written answers beside the scores so a small numerical difference does not create false precision.

In a conditional example, two founders might produce outputs of 52% and 48%. That result does not prove that 52/48 is correct. The team could reasonably choose equal economics if the difference falls within its agreed judgment range, then address decision authority through governance. A larger gap tied to a delayed full-time start or materially different responsibility may support an unequal split, vesting credit or milestone-based treatment.

Do not automatically reward cash with permanent founder equity. First determine with legal and tax advisers whether the money should purchase shares, be documented as debt or receive another treatment. Otherwise, the team risks mixing the price of capital with the value of continuing founder service.

Design voting control before a disagreement occurs

A two-founder company can become stuck when each person controls half the vote and neither the governing documents nor the board structure supplies a decision path. Techstars’ founder guidance warns about deadlock in an even split, recommends reflecting likely long-term contributions and says almost every founding team should use vesting, typically over four years with a one-year cliff.

Map authority by decision type instead of giving one founder a vague right to break every tie. Routine product, sales and staffing choices can follow assigned executive roles. Issuing shares, changing the charter, selling the company, taking major debt or removing a founder may require board or shareholder approval under the company’s documents and applicable law.

Ask counsel to evaluate mechanisms appropriate to the entity and jurisdiction. Possibilities may include an odd-numbered board, a mutually selected independent director, narrowly defined executive authority, mediation or negotiated buy-sell provisions. Each has trade-offs: an independent director must be suitable for the role, while an overly broad casting vote can turn deadlock protection into unchecked control.

Pressure-test the arrangement with deadlock scenarios
<picture></picture>
Do not approve the structure until the founders can explain what happens in specific adverse situations. Two equal shareholders who appoint themselves to a two-person board, for example, may reproduce the conflict at both levels. The exercise should also distinguish operational disagreements that assigned executive authority can resolve from legally reserved actions requiring formal approval.

The Startup Lawyer equity guide explains that equal voting power without a tie-breaker can block shareholder decisions and board elections; it also identifies board approvals, stock purchase agreements, IP assignments, payment evidence and a matching cap table as core founder-stock records.

Use vesting to address uncertainty and departures

Vesting is useful even when founders trust one another because the allocation is based partly on future work. In a reverse-vesting arrangement, founder stock may be issued at formation while remaining subject to a company repurchase right that lapses as shares vest. The instrument, repurchase mechanics and enforceability require jurisdiction-specific advice.

The common schedule described above is a reference point, not a mandatory answer. Founders may discuss credit for substantial pre-incorporation service, different commencement dates or acceleration in defined circumstances. Any adjustment should preserve a meaningful relationship between retained ownership and continuing contribution.

The departure checklist should answer:

What happens to unvested shares when service ends?

What does the founder retain after a voluntary resignation, termination without cause or termination for cause?

Who determines whether a contractual cause or good-reason standard has been met?

Does the company have a right to purchase vested shares, and how would the price be determined?

What happens to board seats, officer roles, voting arrangements and information access?

Do confidentiality, invention-assignment and transition duties survive departure?

Does a company sale followed by a qualifying termination accelerate any vesting?

Avoid relying on informal labels such as “good leaver” and “bad leaver” without definitions. Agreements need objective triggers, notice procedures, exercise windows and payment mechanics. Ownership, employment, a board seat and an officer position are distinct legal relationships.

Model dilution after agreeing the founder allocation

A founder split describes relative ownership within the founding group; it does not guarantee that those percentages will persist. An employee equity pool, financing round or convertible instrument can reduce each founder’s percentage depending on the transaction terms. Model the allocation on a simple fully diluted cap table before signing.

Create at least three views: immediately after founder issuance, after the contemplated employee pool and after a conditional financing scenario. Show share counts as well as percentages, list every included security or reserve and keep financing assumptions visibly separate from the agreed founder ratio.

This step can reveal a negotiation focused on the wrong margin. Arguing over one percentage point between founders may be less consequential than creating an unsupported option pool or failing to model outstanding convertible commitments. If hiring plans drive the pool, build the estimate from anticipated roles rather than selecting an arbitrary round number.

Hand counsel decisions, not an unresolved founder dispute

Counsel should advise on structure, legality, tax and documentation, but the founders must supply the business agreement. Prepare a written handoff containing the economic split, share counts, vesting schedules and commencement dates, governance map, board composition, reserved decisions, departure rules, IP ownership and treatment of cash contributions.

For a U.S. founder receiving restricted property for services, the tax deadline can begin at transfer. IRS Publication 525 says a Section 83(b) election can be filed using a written statement or Form 15620 and must reach the appropriate filing process no later than 30 days after the property is transferred; founders should obtain individual tax advice rather than treating incorporation software as tax counsel.

The handoff may lead to charter documents, board and shareholder consents, restricted stock purchase agreements, vesting and repurchase terms, IP assignments, stock-ledger entries and an updated cap table. Required documents vary by entity, jurisdiction and transaction, so a generic founder memorandum is not a substitute for executed instruments and formal approvals.

Finish with a signed decision record

Schedule one meeting to resolve open assumptions, followed by a separate approval meeting after advisers review the proposed structure. Before signing, every founder should be able to explain the allocation rationale, who decides each major category of action, how vesting works and what happens if a founder leaves soon after issuance.

Keep the worksheet and interview notes as a decision record, but treat executed corporate documents and the reconciled cap table as authoritative. Set a review trigger for a material change before issuance, such as a founder not going full-time as promised, rather than committing to continual renegotiation.
